Independent Contractor Agreement

PLEASE READ CAREFULLY.This Agreement contains important provisions about your status as an independent contractor (§1), your waiver of workers' compensation and employment benefits (§6), and BINDING ARBITRATION with a CLASS ACTION WAIVER (§15) that affect your legal rights.

This Independent Contractor Agreement ("Agreement") is between Leads Under Control LLC, doing business as SparkBNB ("Company"), and you, the cleaning professional ("Contractor"). By creating a Cleaner account and accepting jobs on the SparkBNB platform ("Platform"), you agree to the terms of this Agreement.

1. Independent Contractor Relationship

You are an independent contractor, not an employee of SparkBNB. This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency relationship.

You expressly acknowledge and agree that:

  • You control when you work: you accept or decline any job request, set your own schedule, choose days and hours available
  • You control where you work: you set your service area, radius, and decline any job outside your comfort zone
  • You control how you work: you select which cleaning methods, products, and techniques to use, subject only to the quality standards a reasonable customer would expect
  • Compensation is tier-based (Rookie / Pro / Elite) and product-differentiated, as described in Section 4. Tier advancement is automatic based on your performance metrics (completed jobs, rating, completion rate) — you are not prohibited from accepting any job at the rate applicable to your tier.
  • You supply your own cleaning products, equipment, vehicle, and mobile device
  • You are free to work for competing platforms, clients, or customers during, before, or after any SparkBNB engagement — there is no exclusivity
  • You are responsible for your own federal, state, and local taxes, including self-employment tax
  • You are not entitled to employee benefits, including: health insurance, dental/vision, paid time off, sick leave, retirement contributions, workers' compensation (see §6), unemployment insurance, overtime, or any other benefit associated with employment
  • SparkBNB does not withhold taxes from your payouts. You receive gross pay and are responsible for all tax obligations
  • SparkBNB may provide technology, brand standards, and payment processing, but does not direct the manner or means of your work

You agree that this classification is material to SparkBNB entering into this Agreement. If a court, administrative agency, or other authority were to reclassify you as an employee, you agree that any payments made to you would have constituted gross compensation inclusive of any required tax withholdings or benefits.

2. Contractor Requirements

To maintain active status on the Platform, you must:

  • Be at least 18 years old
  • Be legally authorized to work in the United States
  • Complete identity verification (government ID + selfie)
  • Consent to and pass a background check (see Section 7)
  • Provide W-9 tax information
  • Maintain a smartphone capable of GPS check-in and photo upload
  • Provide your own cleaning supplies and equipment (vacuum, mop, cleaning products, gloves, trash bags)
  • Have reliable transportation to job locations

3. Services and Standards

When you accept a job through the Platform, you agree to:

  • Arrive at the scheduled time (within a 15-minute window)
  • Check in via GPS at the property location
  • Follow the SparkBNB cleaning checklist (30 steps for turnover cleans)
  • Upload a minimum of 5 completion photos before marking the job as done
  • Report any property damage, safety hazards, or guest left-behind items
  • Maintain professional conduct at all times
  • Not bring unauthorized persons to the property
  • Not use the property for personal purposes
  • Not remove any items from the property

4. Compensation

Tier-based rates (product-differentiated): Your per-hour rate is set by your current tier and the product type of the job you accept. As of the date of this Agreement:

  • Turnover cleanings: Rookie $30/hr · Pro $35/hr · Elite $40/hr
  • Deep Cleanings: Rookie $40/hr · Pro $45/hr · Elite $50/hr

Per-job floor: Regardless of (rate × hours), no Turnover job pays less than $100 and no Deep Clean job pays less than $150. This protects you on short bookings.

Tier advancement: Pro unlocks at 10 completed jobs with a 4.7+ average rating and 95%+ completion rate. Elite unlocks at 30 completed jobs with a 4.9+ rating and 98%+ completion rate. Founder Cleaners (first 50 to join) unlock Pro at looser gates (7 jobs, 4.6 rating). Tier is recomputed automatically after every completed booking.

Tier downward adjustment: If your metrics drop below the threshold for your current tier, you will receive a 14-day grace period before tier downgrade takes effect. Improving the metric during the grace period cancels the downgrade.

Urgency and weekend premiums: Same-day, urgent, emergency, and weekend bookings include a per-category premium on your hourly pay (for example, same-day adds 30% to your rate). Premium categories are disclosed in each offer before you accept.

How payout is computed: Your payout for each job = tier-rate × hours × applicable-premium-multiplier, subject to the per-job floor above. SparkBNB does not take a percentage cut of your earnings; the Platform charges the Host separately.

Platform may modify rates: SparkBNB may modify the tier-rate schedule, unlock criteria, product-specific pay, or per-job floor with at least 30 days' prior written notice (including in-app notification). Continued acceptance of jobs after the effective date constitutes acceptance of the new schedule.

Tips: 100% of tips go directly to you. Tips are optional and set by the Host.

Payout schedule (invite-only launch):

  • Weekly batch: Every Friday, SparkBNB pays out the full balance of all jobs approved during that week.
  • Methods: Zelle, Cash App, Venmo, or direct bank transfer — cleaner chooses in Payout Info.
  • Instant / same-day: not available at launch. We'll roll it out once volume justifies Stripe Connect integration.

Job approval: Hosts have 24 hours to review and approve completed jobs. If no action is taken, jobs are automatically approved and the earnings move to "pending payout" on the cleaner's Earnings page.

5. Taxes

As an independent contractor, you are responsible for:

  • Reporting all income earned through the Platform to the IRS
  • Paying all applicable federal, state, and local taxes
  • Paying self-employment taxes (Social Security and Medicare)
  • Filing quarterly estimated tax payments if required

SparkBNB will issue a 1099-NEC form if your annual earnings exceed $600. You must provide accurate W-9 information to receive payouts.

6. Insurance & Injury Waiver

6.1 General liability insurance required. You must maintain at your own expense a general liability insurance policy with coverage of at least $500,000 per occurrence and $1,000,000 aggregate, covering property damage and bodily injury that may occur during cleaning services. You must upload a current Certificate of Insurance (COI) and keep it current. Expired or cancelled coverage will suspend your ability to accept jobs until replaced.

6.2 SparkBNB does NOT provide liability coverage. SparkBNB carries its own insurance to protect the Platform but does not cover claims arising from your cleaning services. Any damage claim by a Host is between you and the Host (or between you and your insurer).

6.3 Workers' compensation waiver. As an independent contractor, you are not covered by SparkBNB's workers' compensation insurance. YOU EXPRESSLY WAIVE any claim against SparkBNB, its owners, officers, employees, agents, or affiliates for any injury, illness, or death you suffer while performing services through the Platform. You assume all risk of injury and are responsible for your own health, safety, and accident coverage. You are strongly encouraged to purchase your own occupational accident or disability insurance.

6.4 Vehicle insurance. You must maintain valid auto insurance at the minimum levels required by Florida law (or the state where you drive) if you drive to job locations. You are solely responsible for any accident, injury, or damage arising from your travel.

6.5 Indemnification. You agree to indemnify and hold harmless SparkBNB, Leads Under Control LLC, and their officers, directors, employees, and agents from any claim, damage, loss, liability, or expense (including reasonable attorney's fees) arising from: (a) your cleaning services, (b) any property damage or personal injury you cause, (c) any misclassification claim you bring that is later dismissed, (d) any violation of this Agreement or applicable law, or (e) any misrepresentation in your application materials, insurance documents, or background check consent.

7. Background Check (FCRA Compliance)

By accepting this Agreement, you consent to a consumer report (background check) conducted by Checkr, Inc. in accordance with the Fair Credit Reporting Act (FCRA). The background check may include:

  • Criminal history (federal, state, and county records)
  • Sex offender registry
  • National criminal database
  • Social Security number trace

Your rights under FCRA:

  • You will be notified before any adverse action is taken based on the report
  • You have the right to dispute any inaccurate information
  • You will receive a copy of the report and a summary of your rights
  • The background check fee ($35) is covered by SparkBNB for your first check

8. Strike Policy

To maintain platform quality, the following infractions result in strikes:

3 strikes = account suspension. Suspended Contractors may appeal by contacting hello@sparkbnb.com. Strikes reset after 6 months of clean performance.

9. Confidentiality

You agree to keep confidential all property access codes, lockbox combinations, alarm codes, WiFi passwords, and other sensitive information shared by Hosts. This obligation survives termination of this Agreement.

10. Non-Circumvention

You agree not to directly solicit Hosts for off-platform work for a period of 12 months after your last job with that Host through SparkBNB. This protects the marketplace that connected you.

11. Dispute Resolution

If a Host disputes the quality of your work:

  • Your completion photos serve as your evidence
  • SparkBNB reviews photos, checklist completion, and Host complaint
  • Resolution options: full payment to you, partial payment, or no payment
  • You will be notified of the outcome within 48 hours
  • You may appeal any decision by contacting hello@sparkbnb.com

12. Safety

Your safety is important. If at any time you feel unsafe at a property, you may:

  • Leave the property immediately
  • Report the safety concern through the Platform
  • Contact local law enforcement if necessary

SparkBNB will investigate all safety reports and may suspend or ban the Host if warranted. You will not receive a strike for leaving an unsafe situation.

13. Termination

Either party may terminate this Agreement at any time, for any reason, with or without notice.

Upon termination:

  • Outstanding payouts will be processed within 7 business days
  • You must complete any accepted jobs that are within 24 hours, or cancel with proper notice
  • Your account will be deactivated and your profile removed from search results
  • Confidentiality obligations (Section 9) survive termination

14. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles. Subject to §15, any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Broward County, Florida.

15. Binding Arbitration & Class Action Waiver

YOU AND SPARKBNB AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR RELATIONSHIP WITH SPARKBNB, YOUR CLASSIFICATION AS AN INDEPENDENT CONTRACTOR, OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION — NOT IN COURT AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

15.1 Administered by AAA. Arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules (or, where applicable, its Employment/Workplace Arbitration Rules if a court ultimately holds those to apply). Rules: adr.org.

15.2 Seat. Arbitration shall take place in Broward County, Florida, or by video at either party's election. Florida law governs the interpretation of this Agreement; the Federal Arbitration Act governs the enforceability of this §15.

15.3 Class action waiver. YOU AND SPARKBNB AGREE TO BRING CLAIMS ONLY IN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, INCLUDING COLLECTIVE ACTIONS UNDER THE FAIR LABOR STANDARDS ACT OR SIMILAR STATE STATUTES. The arbitrator may not consolidate more than one person's claims.

15.4 Small-claims carve-out. Either party may bring an individual claim in the small-claims court of Broward County, Florida, for any dispute within that court's jurisdiction.

15.5 Opt-out. You may opt out of this §15 by sending written notice to legal@sparkbnb.com within thirty (30) days of first accepting this Agreement, including your name, email, and statement that you wish to opt out of arbitration. Opting out does not affect any other provision.

15.6 30-day informal resolution. Before filing for arbitration, the claiming party must send written notice to legal@sparkbnb.com describing the claim. The parties will attempt informal resolution for thirty (30) days before arbitration may be initiated.

15.7 Severability. If the class action waiver is held unenforceable as to a particular claim, that claim proceeds in court, but the rest of §15 remains in force for all other claims.

16. Severability & Entire Agreement

If any provision is found unenforceable, the remaining provisions stay in force. This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and SparkBNB regarding your independent contractor relationship.
